These Terms of Use govern your access to and use of the Chi'Va Providers website at chivaemdr.com.

Chi'Va Providers is operated by I.D.B. Holdings Corp. In these Terms, “Chi'Va,” “we,” “us,” and “our” refer to I.D.B. Holdings Corp. and the Chi'Va Providers website.

By accessing or using chivaemdr.com, you agree to these Terms of Use and the Chi'Va Providers Privacy Policy. If you do not agree, do not use this website.

1. Scope of These Terms

These Terms apply only to chivaemdr.com and its provider-facing information, professional resources, forms, feedback features, communications, and restricted internal administration features.

These Terms do not govern account creation, authentication, the current Chi'Va Trial, self-directed sessions, provider identification within the application, or organization-account activity on chivaapp.com.

Use of chivaapp.com is governed by the terms and privacy policy presented through that application. Following a link from chivaemdr.com to chivaapp.com does not make these Terms the sole agreement governing your Chi'Va account or product use.

2. Purpose of the Provider Website

chivaemdr.com is a professional information, education, provider-acquisition, and sales-funnel website.

The site may allow visitors to:

  • Learn about Chi'Va from a provider perspective
  • Review professional scope and boundary information
  • Explore private-practice, group-practice, and organization pathways
  • Review information about Chi'Va's structure and method
  • Request provider resources
  • Submit professional questions, messages, or feedback
  • Continue to free account creation on chivaapp.com
  • Receive provider news or feature-rollout updates when requested

The provider website does not create public Chi'Va accounts, deliver the current Trial, operate as a provider dashboard, or manage client participation.

3. Eligibility and Authority

The Chi'Va Providers website is intended for adults evaluating Chi'Va for professional, organizational, educational, research, or business purposes.

By using this site, you represent that you are at least 18 years old and legally able to agree to these Terms.

If you submit information on behalf of a practice, company, institution, program, or organization, you represent that you are authorized to provide the submitted information and communicate with Chi'Va on its behalf.

4. Professional Information—not Treatment or Clinical Advice

Content on chivaemdr.com is provided for general professional, educational, product-evaluation, and business-information purposes.

The provider website does not provide:

  • Therapy or clinical treatment
  • Diagnosis or treatment planning
  • Medical, psychiatric, or legal advice
  • Crisis response or emergency services
  • Professional supervision
  • Provider certification
  • Formal EMDR training or credentialing
  • Automated clinical decision-making
  • Live monitoring of clients

Information about Chi'Va does not replace independent professional judgment, applicable standards of care, licensing requirements, organizational policies, or legal responsibilities.

5. Provider Responsibility

Providers and professional organizations remain responsible for their own decisions concerning whether, when, and how to discuss or share Chi'Va.

This responsibility includes evaluating:

  • Whether self-directed use is appropriate for a particular person
  • The provider's professional role and boundaries
  • The person's circumstances, needs, and available support
  • Applicable professional, organizational, and legal requirements
  • How Chi'Va is described to clients or participants
  • Whether additional human support or professional care is needed

Chi'Va does not direct a provider to use the platform with any particular client and does not guarantee that Chi'Va will be appropriate for every person, practice, or setting.

6. Human-in-the-Loop Boundary

Chi'Va is positioned as structured self-directed support with a trusted human provider still in the professional relationship.

This positioning does not mean that a provider must supervise every client interaction or remain continuously available. It also does not mean that Chi'Va replaces professional judgment, provider relationships, treatment, crisis services, or other human support.

Providers should not describe Chi'Va as provider-free care, automated treatment, live clinical monitoring, guaranteed support, or a substitute for appropriate professional services.

7. Account Creation and Product Access

Public client and provider account creation takes place on chivaapp.com.

Providers may currently create a free Chi'Va account, identify themselves as providers, name their practice or organization, and experience the current Trial from the client side.

Your account, Trial access, session activity, provider classification, organization membership, and future provider tools are governed by the terms, privacy policy, permissions, and product rules presented through chivaapp.com.

Creating a free account does not automatically grant access to a protected provider dashboard, client roster, organization administration, paid plan, referral system, or other planned professional features.

8. Practice and Organization Information

A provider may be able to name or create a practice or organization through the chivaapp.com account flow.

Entering an organization name does not, by itself, prove ownership, employment, membership, administrative authority, professional verification, billing authority, or permission to access information belonging to other people.

Chi'Va may require additional information, verification, acceptance of separate terms, confirmation from an organization administrator, or plan activation before enabling protected provider or organization features.

9. Client and Participant Information

Do not submit client, patient, student, employee, participant, case, diagnostic, treatment, session, or other personal health information through chivaemdr.com forms, messages, emails, or open-text fields.

The provider website is not an EHR or EMR and is not intended to receive or maintain clinical records, treatment notes, case files, session content, or protected health information.

A provider account or organization name does not provide automatic access to private client activity or information. Any future client-provider association must use the permissions, consent, and privacy controls implemented through chivaapp.com.

10. Current and Future Features

Chi'Va is under active development. The provider website may discuss current features, planned capabilities, possible commercial models, or areas being evaluated.

Unless a feature is clearly identified as active, descriptions of possible future capabilities do not constitute a promise, guarantee, offer, or commitment that the feature will be released.

Planned capabilities may include:

  • Provider dashboards
  • Practice profiles and organization workspaces
  • Client-provider associations
  • Client seats and practice billing
  • Provider reporting and aggregate practice information
  • Referral links and attribution
  • Commission reporting
  • Paid practice or organization plans
  • Pilot and implementation pathways

Chi'Va may revise, delay, replace, limit, test, or decide not to release a planned feature.

11. No Partnership, Endorsement, or Compensation Promise

Creating an account, naming an organization, receiving provider updates, sharing Chi'Va, or submitting feedback does not create an employment, agency, franchise, partnership, joint venture, fiduciary, certification, endorsement, or formal referral relationship between you and Chi'Va.

You may not represent yourself or your organization as certified, approved, endorsed, employed, partnered, or formally affiliated with Chi'Va unless Chi'Va has expressly authorized that description in writing.

Any future referral commission, paid-provider relationship, organization plan, pilot, or other commercial arrangement will require separate terms or a written agreement.

No referral commission or compensation is earned merely by creating a provider account, sharing a general link, naming an organization, or participating in the current Trial.

If a future compensated referral or endorsement program becomes active, participants must comply with its separate terms and clearly disclose material compensation or other relevant relationships when required.

12. Provider Resources and Communications

When you request a provider resource, Chi'Va may send the requested material and communications reasonably necessary to fulfill or troubleshoot that request.

If you separately request or consent to provider news, feature updates, access announcements, professional resources, or promotional communications, you may unsubscribe using the method provided in the message or by contacting Chi'Va.

Unsubscribing from promotional communications does not prevent Chi'Va from responding to an active inquiry, delivering a requested resource, or sending necessary security, legal, or transactional messages.

Communications associated with a chivaapp.com account are governed by the terms, privacy policy, and communication settings applicable to that account.

13. Questions, Feedback, and Submissions

You may submit professional questions, suggestions, observations, or feedback concerning Chi'Va.

Do not submit confidential business information, trade secrets, proprietary materials belonging to another person, or client information.

You retain ownership of material you owned before submitting it. However, by voluntarily submitting nonconfidential feedback, you give Chi'Va permission to review, analyze, reproduce, adapt, and use that feedback to evaluate, improve, develop, and communicate about Chi'Va without an obligation to compensate you.

Chi'Va is not required to implement a suggestion, respond to every submission, or treat voluntarily submitted feedback as confidential unless a separate written agreement says otherwise.

14. Intellectual Property

The site and its content—including the Chi'Va name, official flame logo, written materials, graphics, page designs, product descriptions, resources, methods, software, and other original material—are owned by Chi'Va, its licensors, or their respective owners and are protected by applicable intellectual-property laws.

Subject to these Terms, Chi'Va grants you a limited, revocable, nonexclusive, nontransferable right to access and use the provider website for legitimate personal, professional, organizational, or product-evaluation purposes.

This permission does not transfer ownership or grant a right to reproduce, distribute, modify, publish, license, sell, resell, or commercially exploit protected Chi'Va content.

Approved downloadable resources may be used only within the scope stated on the resource or in accompanying permission language.

15. Acceptable Use

You agree not to:

  • Use the site unlawfully, fraudulently, or deceptively
  • Submit false professional or organization information
  • Impersonate another person or misrepresent your authority
  • Submit client records or personal health information
  • Misrepresent Chi'Va's capabilities, evidence, or professional status
  • Claim certification, endorsement, partnership, or approval without authorization
  • Copy, scrape, harvest, or systematically extract site content or contact information
  • Resell or commercially exploit site content without written permission
  • Attempt to bypass security or restricted administrative access
  • Upload malicious code or interfere with website operation
  • Use automated systems in a manner that burdens or disrupts the site
  • Harass, threaten, or abuse Chi'Va personnel or other users
  • Use Chi'Va branding in a misleading or unauthorized manner

Chi'Va may restrict access, block submissions, remove content, or take other reasonable action in response to suspected misuse.

16. Third-Party and External Links

The provider website may contain links to chivaapp.com and other websites, services, research materials, publications, or resources operated by third parties.

A link does not necessarily mean that Chi'Va controls, endorses, guarantees, or accepts responsibility for the external content, availability, security, terms, or privacy practices.

You are responsible for reviewing the terms and privacy policies that apply to an external website or service.

17. Information Accuracy and Availability

Chi'Va works to provide clear and current provider information, but the site may contain errors, omissions, outdated descriptions, or information about features that are still being developed.

Content may be corrected, updated, reorganized, removed, or replaced without prior notice.

Chi'Va does not guarantee that the provider website, any resource, or any external link will always be available, uninterrupted, secure, or error-free.

18. Disclaimers

To the maximum extent permitted by applicable law, chivaemdr.com and its content are provided “as is” and “as available.”

Chi'Va disclaims warranties that are not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement.

Chi'Va does not warrant or guarantee:

  • Clinical, therapeutic, professional, financial, or business outcomes
  • Improved client retention, engagement, or treatment results
  • Suitability for every provider, client, practice, or organization
  • Acceptance by a licensing board, payer, employer, funder, or institution
  • The release or timing of any planned feature
  • Continuous availability of the site or its resources

Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.

19. Limitation of Liability

To the maximum extent permitted by applicable law, Chi'Va and its officers, directors, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or connected to your use of—or inability to use—the provider website.

This includes loss of data, business opportunity, revenue, reputation, or anticipated benefit resulting from reliance on site content, planned-feature descriptions, external links, submitted information, or interrupted website access.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

20. Responsibility for Violations

You are responsible for losses, claims, or expenses resulting from your unlawful use of the site, your material violation of these Terms, your unauthorized submission of another person's information, or your unauthorized use of Chi'Va intellectual property.

This section does not require you to accept responsibility for a claim to the extent it results from Chi'Va's own unlawful conduct.

21. Suspension and Termination

Chi'Va may restrict or terminate access to chivaemdr.com, restricted site features, forms, or communications when reasonably necessary to:

  • Protect site security
  • Prevent fraud, spam, abuse, or unlawful activity
  • Enforce these Terms
  • Comply with legal obligations
  • Protect Chi'Va or another person from harm

Termination of access to chivaemdr.com does not automatically determine the status of a separate chivaapp.com account. Account status within the application is governed by the terms applicable to chivaapp.com.

22. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Nothing in these Terms prevents either party from pursuing a remedy or protection that cannot lawfully be waived.

23. Severability and Waiver

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

A failure by Chi'Va to enforce a provision does not waive the right to enforce it later.

24. Entire Agreement for the Provider Website

These Terms and the Chi'Va Providers Privacy Policy form the agreement governing your use of chivaemdr.com, unless a separate written agreement applies to a specific resource, pilot, partnership, or commercial relationship.

Separate terms govern chivaapp.com accounts, the Trial, paid product access, and future provider or organization features delivered through the application.

25. Changes to These Terms

Chi'Va may update these Terms when the provider website, forms, resources, business model, legal requirements, or information practices change.

The effective date at the top of this page will be revised when the Terms change. When appropriate, Chi'Va may provide additional notice through the website or by email.

Your continued use of chivaemdr.com after revised Terms become effective means that the revised Terms will govern your subsequent use of the site.
